This is a translation provided for convenience. In the event of any discrepancy, the French version prevails.

1. Purpose and scope

These terms of sale govern purchases made on the NOVSTR website: credits (content creators), subscriptions and additional analyses (professionals: brands and agencies). They supplement the Terms of use, which describe how the service works.

The seller is NOVSTR, a French SASU with a share capital of €1,000, registered office at 7 avenue Victor Hugo, 64200 Biarritz, France, registered with the Bayonne Trade and Companies Register under number 130 572 340 (see the Legal notice). Contact: contact@novstr.com.

Any purchase requires acceptance of these terms, given by ticking the box on the payment page. The applicable terms are those in force on the date of purchase.

2. Service reserved for professionals

NOVSTR services are intended exclusively for users acting in the course of their business or profession. NOVSTR does not offer its services to consumers.

Content creators: adults who carry out a commercial influence activity (promoting goods or services to their audience in exchange for payment or a benefit in kind). The creator offer is designed to analyse and set the price of commercial collaborations carried out as part of this activity. By purchasing credits, the creator confirms that they are acting in this capacity.
Brands, agencies and other businesses: customers who take out a subscription or purchase additional analyses as part of their business.

3. Offers and prices

Offers and prices are shown on the Pricing page and in the customer area at the time of purchase.

Credits (creators): sold individually or in packs; 1 credit generates 1 Pricing Report. Prices include all taxes. Credits do not expire.
Subscriptions (professionals): monthly or annual plans giving a monthly quota of Flash Analyses and Certified Analyses. Prices exclude VAT; applicable VAT is added at checkout.
Additional analyses (professionals): purchased individually, with no expiry, used once the monthly quota has been reached. Prices exclude VAT.

NOVSTR may change its prices at any time. The applicable price is the one displayed when ordering. For an ongoing subscription, any price increase is notified to the customer at least 30 days before it applies and only takes effect at the next renewal; the customer remains free to cancel.

4. Ordering and payment

Payment is made online by card (including Apple Pay and Google Pay), on the secure page of our payment provider Stripe. NOVSTR never has access to card numbers. Payment may require authentication with the customer's bank (3D Secure).

The order is final once payment is confirmed. A receipt or invoice is provided by email and, for professionals, in the "Manage billing" area.

Any promotional codes offered by NOVSTR are entered on the payment page, subject to their own conditions.

5. Provision of the service

Credits, additional analyses and subscription rights are made available in the customer's account immediately after payment is confirmed. They are personal and non-transferable.

6. No right of withdrawal

As the services are reserved for professionals (section 2), purchases do not give rise to a right of withdrawal.

In the alternative, should a creator nevertheless be considered a consumer, the following rules apply. They would in principle have 14 days to withdraw (article L221-18 of the French Consumer Code). However, under article L221-28, 13°, this right cannot be exercised for digital content whose supply has begun with their prior express consent and acknowledgement that they lose the right: by accepting these terms at checkout, they request immediate access to their credits and acknowledge that they lose their right of withdrawal for each credit used, that is, as soon as a Pricing Report has been generated with that credit. For unused credits, they may withdraw within 14 days of purchase by writing to contact@novstr.com (form in the appendix); unused credits are then refunded within 14 days, using the same payment method, and removed from the account.

7. Subscriptions: term, renewal and cancellation (professionals)

Term: the subscription is taken out for one month or one year depending on the plan, from the date of subscription.
Renewal: it renews automatically for the same period, at the current price, unless cancelled.
Quotas: analysis quotas are monthly, including on annual plans; they do not roll over from one month to the next.
Changing plan: possible at any time from "Manage billing"; the price difference is prorated.
Cancellation: possible at any time from "Manage billing". It takes effect at the end of the current, already paid period, and access to the plan is maintained until then. No prorated refund is made for the period already started.
Payment failure: if a payment fails, it is automatically retried; if it is not settled, the subscription may be suspended and then cancelled, and the team returns to the no-subscription offer.

8. Conformity of the service

NOVSTR undertakes to provide a service that matches its description. In the event of a malfunction (report not generated, credit wrongly deducted), the customer contacts contact@novstr.com: NOVSTR restores the credit or analysis concerned, or issues the corresponding refund.

The Pricing Report is an estimate based on a method and market data: it guarantees neither a price obtained nor the conclusion of a collaboration (see the Terms of use, section 9). A difference between the recommended price and the price finally negotiated does not constitute a lack of conformity.

In the alternative, should a creator be considered a consumer, they would also benefit from the legal guarantee of conformity for digital content and services (articles L224-25-12 et seq. of the French Consumer Code).

9. Refunds and payment disputes

In the event of a full refund or a payment dispute with the bank, the corresponding credits or additional analyses are removed from the account. NOVSTR may suspend an account in the event of an abusive dispute.

10. Liability

NOVSTR's liability is limited as provided in the Terms of use. This limitation does not apply to rights that consumers derive from the law.

11. Personal data

Data needed for the purchase (email, name, billing address, VAT number for professionals) is processed in accordance with the Privacy policy. Payment data is processed by Stripe. Accounting records are kept for 10 years (legal obligation).

12. Complaints and amicable settlement

Any complaint must be sent in writing to contact@novstr.com. The parties will seek an amicable solution before taking any action.

13. Governing law and jurisdiction

These terms are governed by French law. Failing an amicable settlement, the courts with jurisdiction over NOVSTR's registered office shall have jurisdiction, subject to mandatory rules.
